Terms and Conditions

These Terms and Conditions govern access to and use of StreamPilot, a UK-based software-as-a-service platform for radio stations, DJs and audio publishers. StreamPilot provides station and DJ management software, scheduling tools, recording automation, storage allocations, APIs, subscription billing workflows and optional managed mobile app services.

By creating an account, subscribing, using StreamPilot, starting Stripe Checkout, accessing the Panel, using an API endpoint, or asking StreamPilot to provide a managed app service, you agree to these Terms. If you use StreamPilot on behalf of a company, radio station, DJ brand, community group or other organisation, you confirm that you have authority to bind that organisation.

These Terms are written for StreamPilot's actual services. They do not promise uninterrupted streaming, uninterrupted API access, uninterrupted recording automation, uninterrupted storage access or uninterrupted mobile app availability.

StreamPilot is a platform for operating and managing digital radio and DJ services. Depending on your plan and configuration, it may include Panel access, station account management, DJ account management, schedule management, media and artwork management, recording automation, podcast or feed generation, storage allocations, APIs/endpoints, white-label app configuration, app build tooling, audit logs, user management and billing-related account state.

StreamPilot is not itself a guaranteed broadcast transmission service. If your stream host, audio source, internet connection, third-party player, app store, API consumer or device fails, your listeners may experience disruption even where StreamPilot is operating normally.

3. Subscription services

Your monthly or annual StreamPilot subscription provides access to the StreamPilot platform only. It does not automatically include a dedicated branded iOS or Android app. Dedicated mobile apps are optional and are provided only if you purchase the Managed App Service or enter into a separate written arrangement with us.

Subscription features, storage allocations and entitlements are plan-based. We may improve, modify or replace features where this does not materially remove the core functionality of your paid plan.

4. Billing, renewal and taxes

Billing is processed using Stripe. Stripe is the billing source of truth for payment method handling, invoices, tax calculation where configured, receipts, failed payment recovery and subscription lifecycle events. We do not store full card details on StreamPilot servers.

Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with these Terms or any applicable checkout terms. Monthly plans renew monthly. Annual plans renew annually. Prices shown during checkout are the prices charged by Stripe, and may include or exclude VAT or other taxes depending on configuration, location and applicable law.

You authorise Stripe and StreamPilot to charge the selected payment method for subscription fees, managed app service fees, onboarding fees and any selected add-ons. If payment fails, access may become past due, restricted, suspended or cancelled.

5. Cancellation

You may request cancellation of a subscription using the available billing or support process. Cancellation normally takes effect at the end of the current paid billing period unless we agree otherwise or Stripe records a different effective date. We do not guarantee refunds for unused time unless required by law or expressly agreed in writing.

Cancelling a platform subscription may also affect related services, including Managed App Service maintenance, app update handling, API availability, recording automation and access to Panel-managed configuration.

6. Suspension and account termination

We may suspend, restrict or terminate access if: payment is overdue; you breach these Terms or the Acceptable Use Policy; your use creates security, legal, operational or reputational risk; you exceed reasonable resource usage; your content appears unlawful or infringing; you misuse APIs or automation; or we are required to act by law, a regulator, court, app store, payment processor or infrastructure provider.

Suspension may affect Panel access, APIs, scheduling, recording automation, storage, app configuration, app updates and related services. We will use reasonable efforts to explain the reason where lawful and practical.

7. Customer responsibilities

You are responsible for keeping account credentials secure, maintaining accurate billing and contact details, ensuring you have rights to all Content, complying with music licensing and copyright obligations, keeping your stream source operational, maintaining lawful communications with listeners, and ensuring your use of StreamPilot complies with applicable laws and platform rules.

You are responsible for retaining your own copies of important media, recordings, graphics, branding, schedules, show metadata and operational documents. StreamPilot backups are for disaster recovery and are not a substitute for customer-maintained copies.

8. Content ownership and licensing

You retain ownership of Content you provide. You grant StreamPilot a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, adapt, resize, publish, display and otherwise use Content as necessary to provide the Service, generate feeds, operate APIs, build apps, display schedules, process recordings, provide support and maintain platform reliability.

You warrant that you have all rights, licences, consents and permissions required for your Content, including music, artwork, logos, show names, DJ profiles, station branding, stream URLs and recorded material.

9. Intellectual property

StreamPilot, the Panel, platform code, build tooling, templates, database structure, designs, processes, documentation and underlying technology are owned by StreamPilot or its licensors. Except for your Content and branding, you do not acquire ownership of StreamPilot technology by subscribing or using the Service.

You may not copy, reverse engineer, resell, sublicense, scrape, bypass access controls or create competing services using StreamPilot except as expressly permitted in writing.

10. Third-party providers

StreamPilot relies on third-party providers including Stripe for payments, Apple and Google for app distribution, hosting providers for infrastructure, email providers for notifications, and customer-selected streaming hosts or API consumers. Third-party outages, policy changes, account issues, payment disputes, app review delays or store removals are outside StreamPilot's direct control.

11. Service availability disclaimer

StreamPilot is provided on a commercially reasonable and best-efforts basis. We do not guarantee uninterrupted service. We do not guarantee uninterrupted streaming. We do not guarantee uninterrupted API access. We do not guarantee uninterrupted recording, scheduling, automation, feed generation, storage access, app availability or app update delivery. Service interruptions may occur because of maintenance, emergency work, internet routing, third-party failure, stream source failure, hosting issues, abuse prevention, security incidents, app store action or other causes.

12. Limitation of liability

Nothing in these Terms limits liability that cannot legally be limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or other liability that cannot be excluded under the laws of England and Wales.

Subject to the previous sentence, StreamPilot is not liable for loss of profits, revenue, listeners, audience growth, goodwill, contracts, data, recordings, media, broadcast time, advertising income, sponsorship income, app rankings, app reviews, app store availability, business interruption or indirect or consequential loss.

Subject to the above, StreamPilot's total aggregate liability arising out of or in connection with the Service is limited to the fees paid by you to StreamPilot for the affected Service in the three months immediately before the event giving rise to the claim.

13. Indemnity

You agree to indemnify StreamPilot against claims, losses, damages, costs and expenses arising from your Content, your breach of these Terms, copyright or licensing disputes, misuse of the Service, unlawful broadcasting, misuse of APIs, listener communications, or breach of Apple, Google, Stripe or other third-party terms caused by you or your users.

14. Force majeure

StreamPilot is not responsible for delay or failure caused by events beyond reasonable control, including network failures, data centre incidents, third-party outages, payment processor issues, app store delays, strikes, extreme weather, war, terrorism, civil disturbance, governmental action, legal restrictions, power failure, security incidents or acts of God.

15. Changes to the Service or Terms

We may update the Service and these Terms from time to time. Where changes materially affect paid services, we will use reasonable efforts to provide notice. Continued use after changes take effect means you accept the updated Terms.

16. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable consumer law gives you mandatory rights in another jurisdiction.
